SUBJECT: Private airport Partnership Agreement

Is anyone in a partnership in an airport? I am looking for Model

Partnership Agreement language that would be appropriate for 4 persons

to buy and operate a private (non-profit) airport in the USA as a

hobby.
The primary concern is avoiding litigation and maintaining the airport

if a partner dies. We do not want to be forced to liquidate (sell the

airport) to buy out a 1/4 partner's heirs in the event of a death. We

are looking for a fair and equitable method of buying out a partner or

heir without causing undo hardship to the surviving partners who wish

to continue the airport.

What you propose is noble, and (depending upon the complexity of the enterprise) should be easily accomplished.

You just need to consult with a knowledgeable attorney in your area (which is... where?).

Many, many airport operations are "non-profit," though with most, that is *not* the intent! If you intend on creating a not-for-profit entity to conduct the business, then you definitely need to consult with counsel.
